Job Description
Role Description
As a member of the Corporate Development team, the Senior Director, Corporate Development and Mergers & Acquisitions leads regional and business initiatives for the development and overall external growth strategy of SGS in North America (US and Canada). They will work closely with business and regional teams to identify potential targets and execute transactions. In addition, they will take ownership of acquisition projects and processes, including:
- Leading regional and business initiatives in developing and identifying suitable acquisition targets.
- Identifying possible acquisition targets based on the specific business unit’s strategy.
- Performing valuation analysis and generating financial and valuation models.
- Making initial contact with a target to introduce the idea of a possible acquisition.
- Working with the target company and specific business unit on financial analysis, modeling, and valuation.
- Reviewing financial statements and producing financial and strategic assessments of acquisition.
- Leading preparation of the initial presentation of acquisition proposal for the specific business unit to SGS CEO/CFO, then for the OC/Board presentation.
- Producing presentations, spreadsheets, information memoranda, term sheets, etc.
- Negotiating the Letter of Intent with the target company.
- Negotiating with outside accountants for due diligence service, scope and fees, and overseeing actual due diligence process.
- Assisting in-house and outside legal counsel with the negotiation of closing documentation, and the actual closing transaction.
- Monitoring and coordinating the integration process with local management, business management, and supporting functions.
- Working with Group Control to prepare post-transaction analysis, including purchase price allocation.
- Occasionally (up to 10% of time) providing remote (no travel required) support to Corporate Development and M&A function in South & Central American region.
- Maintaining transaction information in the company’s databases.
- Adhering to internal standards, policies, and procedures.
- Performing other duties as assigned.
Qualifications
- Master’s degree in Business, Finance, Economics or similar discipline.
- Minimum 10 years of broad project management, strategy projects, M&A execution, in large corporate, investment bank or private equity.
- Experience with successful M&A transactions throughout the entire M&A lifecycle, including landscape analysis, pipeline development, strategic due diligence, transaction management and post-merger integration, financial transactions, corporate and business strategy.
- Experience in deal making.
- Strong knowledge of financial modelling and valuation skills.
- Strong planning, organizational, analytical, negotiation and influencing skills.
- Excellent communication skills (verbal, written and executive presentation).
- Knowledge of Federal, State, and local laws/regulations related to M&A.
- Ability to think strategically and translate concepts into actionable items.
- Ability to generate results through influence in a matrix environment with multiple stakeholders.
- Ability to partner with and influence all management levels.
- Ability to motivate without a direct line of authority.
- Ability to work effectively under pressure and in ambiguous situations.
- Strong ability to balance multiple priorities and produce results.
- Self-starter attitude.
- Strong leadership abilities.
- Strong attention to detail, sense of urgency and high initiative.
- Ability to maintain and keep confidential highly sensitive information.
- Excellent work ethic and commitment to long-term development.
