Job Description

• Drafting Securities Disclosures: Prepare and review comprehensive securities disclosure materials for offerings under Regulation A and Regulation D • Commercial Contract Review: Review, negotiate, and draft various commercial contracts, including vendor agreements, partnership agreements, and customer agreements • Compliance Oversight: Work closely with the product team to ensure compliance with all relevant laws and regulations concerning the fractionalized investment platform • Legal Automation: Lead efforts in implementing and improving legal automation processes to increase efficiency and streamline legal operations • Corporate Governance: Assist with corporate governance matters, including board meetings, resolutions, and other corporate documentation • Legal Research and Analysis: Stay up-to-date with relevant legal developments in the areas of securities, real estate, and investment regulations • General In-House Counsel Responsibilities: Address a wide range of legal issues that arise in the course of day-to-day business operations

Job Requirements

Minimum of 3-4 years of experience in a big law firm, PE fund or other fractionalized investments setting
Juris Doctor (JD) from an accredited law school and admission to the Bar (NY and/or WA preferred)
Strong understanding of securities regulations and experience with exempted offerings
Experience in real estate transactions and related legal matters
Excellent drafting and negotiation skills with acute attention to detail
Experience with and passion for legal automation
Ability to work independently and as part of a collaborative team
Strong analytical and problem-solving abilities
Exceptional communication and interpersonal skills
Familiarity with technology startups and the real estate industry is a plus
