Role Description

StackAdapt is seeking an experienced attorney in the role of Commercial Counsel, reporting to the VP Legal, Commercial. This is a rare and exciting opportunity that allows you to play a key role on an expanding Legal team at a high growth Canadian tech company, and to apply your leadership skills and vision to the role. This individual will be a key member of the Legal team and supporting the Revenue/sales organization, driving commercial transactions to close while ensuring compliance with legal and operational standards.

• Structure, negotiate and draft a wide range of commercial agreements
• Provide legal advice to key stakeholders on commercial and legal matters within the business
• Provide thought leadership internally and externally
• Provide leadership, mentorship and training to StackAdapters

Qualifications

• Practical, business-minded lawyer with at least 5+ years’ relevant experience in an in-house or reputable firm setting; US experience is preferred
• Call to the Bar in one or more Canadian Provinces or one or more US states, with active license to practice law in such jurisdiction(s)
• In-house experience in advertising, technology, ad tech, data, or media company
• A positive, collaborative spirit, and a learning mindset
• Adaptable, comfortable with ambiguity, and enjoy a fast-paced environment
• Strong attention to detail and ability to handle multiple projects simultaneously
• Able to “own”, drive and manage projects from beginning to end, with an internally driven sense of follow through
• Professional maturity and integrity
• Excellent legal and business judgment and are comfortable balancing legal risks and business strategy
• Exceptional writing skills, strong attention to detail, and an ability to create original drafted documents
• A desire to mentor and educate non-legal team members in a constructive and motivational way, consistent with StackAdapt culture and values

Requirements

• At least 5 years of advertising technology or general software platform legal experience
• Focus on transaction support, commercial contract drafting and negotiation, data governance and privacy, advertising and marketing technology and artificial intelligence matters
• Strong negotiation skills and a demonstrated ability to manage commercial and legal risks in the digital media/ad tech industry
• Ability to work collaboratively and dependably with others in a remote setting as part of a highly collaborative remote global Legal team
