Job Description
Role Description
We are looking for a Associate / Senior Associate General Counsel who is detail-oriented, proactive, and a collaborative team player to join our Legal team. The ideal candidate thrives in a fast-paced, highly dynamic environment and is excited to provide strategic legal counsel, ensure compliance, and support Xsolla's business objectives. You will support the CLO across a broad range of corporate, transactional, and regulatory matters, with a particular focus on digital assets, securities, and commercial disputes.
- Advise on cryptocurrency, blockchain, and digital asset regulatory matters, including token structures, exchange compliance, and evolving federal and state frameworks
- Support securities law compliance, including private placements, investor documentation, exemption analysis
- Manage or support commercial litigation and pre-litigation disputes, including engagement of outside counsel, strategy development, and settlement negotiations
- Provide general corporate counsel on entity formation, governance, equity structures, stockholder agreements, and M&A-related matters
- Draft, review, and negotiate commercial agreements, licensing arrangements, and IP-related contracts
- Monitor regulatory developments in crypto, gaming, fintech, and related industries and advise internal stakeholders on business impact
- Coordinate with outside counsel across multiple jurisdictions and workstreams
Qualifications
- J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction
- 3-7 years of experience in a law firm or in-house legal department
- Demonstrated deep experience with cryptocurrency, digital assets, or blockchain-related legal matters
- Working knowledge of U.S. securities laws, including Securities Act and Exchange Act frameworks
- General litigation experience (commercial, corporate, or regulatory) or substantial general corporate transactional experience
- Stellar drafting and negotiation skills
- Ability to work independently, manage multiple priorities, and communicate clearly with business teams
- Gaming, entertainment, or technology industry experience is a plus
