Job Description
• Maintain and organize the centralized filing system and legal files in SharePoint and other databases
• Collect operational metrics and generate reports across the legal tech stack (GCAI, Ironclad, Salesforce, SharePoint)
• Assist in litigation management and coordinate with outside counsel as needed
• Maintain master IP (trademark and patent) files and coordinate with outside counsel on upcoming filings
• Conduct contract portfolio and basic legal research
• Support the Legal team with daily activities and administrative tasks
• Create and execute project plans for large-scope departmental requests
• Own legal administration of DocuSign, GCAI, Ironclad, Contracting SharePoint, including user access and permissions
• Own and track changes, updates, and upgrades to the Legal Cases Queue in Salesforce
• Cross-train to monitor and manage the Legal Cases Queue, assigning matters internally
• Assist in gathering evidence and reporting for SOC 1, SOC 2, and HITRUST audits
• Troubleshoot legal tech stack issues for stakeholders
• Coordinate legal tech stack training and develop supporting materials
• Co-own the Legal Operations Teams Channel with the Commercial Contracts Team
• Review redlines of standard contracts and determine when attorney review is required
• Assist in the vendor and client contracting process, including redlining basic agreements (e.g., NDAs)
• Ensure signed agreements are uploaded and organized in CLM and SharePoint
• Assist with formatting documents to maintain consistent bswift style
• Maintain, update, and configure workflows in Ironclad
• Perform large-scale contract review and analysis as needed
• Manage subcontractor update and consent processes with clients
• Maintain and update corporate entity books and records
• Draft corporate governance documents such as resolutions, consents, minutes, and correspondence
• Assist with Board of Directors matters
• Support formation and dissolution of U.S. and India legal entities with outside counsel
• Manage the CSC relationship and ensure state corporate filings are current
• Create and maintain corporate virtual data rooms, insider lists, and support M&A activities
• Maintain and update Litigation Dispute tracker, notes, and SharePoint folders
• Issue, track, and follow up on Litigation Holds
• Other Duties as Assigned
Job Requirements
- Bachelor’s degree or equivalent work experience
- 5+ years of experience in a corporate legal department, preferably in technology or benefits administration
- Excellent organizational skills
- Highly proficient with Microsoft 365 (Word, Excel, PowerPoint, SharePoint)
- Experience with Salesforce and contract lifecycle management tools
- Experience using AI interfaces (preferred)
- Strong attention to detail
- Ability to work in a fast-paced environment and manage multiple priorities
- Excellent communication skills and a collaborative, positive attitude.
