Job Description

• Lead drafting, review and revision of SEC filings, including annual and quarterly reports, 8-K filings, Section 16 filings, and other filings as needed • Lead planning for annual meeting matters, including proxy statements, shareholder communications, and other governance-related disclosures • Monitor developments and serve as the key subject-matter expert in securities laws, SEC guidance, Nasdaq requirements, and corporate governance best practices, and advise on potential impacts • Advise on securities law compliance, including insider trading policies, the handling of material non-public information, shareholder proposals, and other matters • Advise on Regulation FD and public disclosure and assist in review of investor and public relations materials to ensure compliance with securities laws • Support the company’s corporate governance function, including direct facilitation of board and committee processes, governance policies, and director/officer compliance • Serve as a subject-matter expert on legal aspects of stock-based compensation and equity plan administration • Assist in corporate policy reviews and improving policy practices and processes, and assist with related training • Contribute to subsidiary management and compliance matters • Assist on M&A and business development initiatives, as needed • Provide advice and support on various corporate matters as they arise.

Job Requirements

  • J.D. degree from an accredited law school; member in good standing of at least one U.S. state bar
  • 5-7+ years of legal experience, including law firm experience, with significant focus on securities law, SEC reporting, and public company governance
  • Deep knowledge of the ’33 Act, ’34 Act, SEC rules and regulations, and Nasdaq listing standards
  • Strong communication skills, with the ability to convey complex legal concepts to non-legal audiences
  • Excellent drafting skills, organizational skills, and attention to detail
  • Ability to lead, manage, and prioritize competing projects from inception through completion in a collaborative, fast-paced environment.
  • Excellent interpersonal skills with the ability to collaborate cross-functionally and advise senior leadership with sound judgment and practical solutions
